HOMESPACE – TERMS OF SERVICE

These Terms of Service ("Terms") apply to your use of Homespace, a software product offered by Manxz, Inc., a Delaware corporation ("Manxz," "we," "us," or "our"). These Terms govern your use of:

• The Homespace mobile applications
• The Homespace web app and dashboard
• homespace.co and any website linking to these Terms

By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About Homespace

Homespace is an operations, scheduling, and workflow platform designed primarily for service professionals and field-service businesses. Anyone may sign up, but the platform is intended for business use and may not be useful for non-business purposes.

Homespace provides software only. Manxz is not a service provider, contractor, or party to any agreement between you and your customers.

2. Eligibility

You must:

• Be at least 18 years old
• Be legally able to enter contracts
• Provide accurate account information

3. Account Registration

You agree to:

• Maintain a secure password
• Keep your information accurate
• Not impersonate another person or business
• Not share your login credentials

We may suspend or terminate accounts for violations, fraud, abuse, illegal activity, or nonpayment.

4. Subscription, Billing & Trial

Homespace operates on a monthly subscription model.

4.1 Free Trial

• Homespace includes a 14-day trial.
• A valid payment method is required to start the trial.
• If you do not cancel before the trial ends, your subscription automatically renews into a paid monthly subscription.

4.2 Billing

Payments may be processed via:

• Stripe
• Apple App Store
• Google Play Billing

Your billing provider's terms also apply.

4.3 Auto-Renewal

Subscriptions auto-renew monthly until canceled.

4.4 Cancellation

You may cancel at any time. Cancellations take effect at the end of the current billing period.

4.5 Refunds

Manxz does not provide refunds, except where required by law or in cases of duplicate billing or verified errors.

App Store / Google Play purchases may be subject to their refund policies.

5. Payments From Customers (Invoices & Job Payments)

5.1 Stripe Payments

Homespace integrates with Stripe so your customers can pay invoices through a secure payment link.

5.2 Manxz Is Not a Money Transmitter

• Manxz does not hold, store, or control customer funds.
• All payment processing and payouts are handled by Stripe.
• Users may initiate payouts from within the Homespace interface, but all funds movement occurs through Stripe.

5.3 You Are Responsible for Your Customer Relationships

You agree that:

• You are the merchant of record
• You are responsible for chargebacks, refunds, taxes, and customer disputes

6. Location Tracking & Geofencing

Homespace uses GPS location data to provide features such as:

• "On My Way" tracking
• Estimated time of arrival ("ETA") for customers
• Job arrival/departure detection
• Route suggestions and AI-assisted routing
• Admin visibility into team movements

6.1 When We Track

Homespace only collects location data when:

• You tap "On My Way",
• You are actively navigating to a job, or
• You are within a job session that requires tracking.

No always-on background tracking occurs outside those actions.

6.2 Who Can See Your Location

• Your customers can see your live ETA when you are "On My Way."
• Admins and managers in your organization can see the live locations of all pros who activate location sharing.

7. Photos & Media

You may upload photos related to jobs (e.g., before/after images, damage documentation).

You grant Manxz a limited license to store and display these photos solely as needed to operate the Services.

Customers may view these photos through estimates, invoices, or job updates.

8. Communications & SMS

Homespace uses Twilio to send:

• Login verification codes
• Job status updates
• Customer notifications (estimates, invoices, reminders)
• ETA messages
• Marketing or product updates (with consent)

By using Homespace, you consent to receive SMS messages.

Opt-Out

Reply STOP to any SMS to unsubscribe from non-essential messaging. Essential account messages (security, login codes, or system-required messages) may still be sent.

Carrier rates may apply.

9. Third-Party Services

Homespace uses the following services:

• Google Maps Platform – routing, geolocation, map rendering
• Stripe – payments
• Twilio – SMS
• AWS – hosting and infrastructure
• Apple / Google – billing and app distribution

Your use of the Services also constitutes your agreement to their respective terms.

10. Acceptable Use

You may not:

• Use Homespace for illegal activity
• Abuse or harass other users
• Attempt to access data you do not own
• Interfere with or disrupt the Services
• Upload malware or malicious content
• Use the Services to send spam

11. Service Disclaimers

Homespace is a workflow and operations tool. Manxz:

• Does not verify service professionals
• Does not guarantee job quality or outcomes
• Is not part of any agreement between pros and their customers
• Is not liable for damages arising from work performed by pros

Your relationship with your customers is solely your responsibility.

12. Intellectual Property

Homespace, including all software, branding, logos, UI, designs, and content, is owned by Manxz, Inc.

You receive a limited, non-transferable license to use the app.

You may not copy, reverse engineer, resell, or distribute Homespace.

13. Termination

We may suspend or terminate your account for:

• Nonpayment
• Fraud
• Abuse
• Illegal activity
• Violations of these Terms

You may delete your account at any time.

Deleted accounts are removed immediately, except where retention is required for legal or accounting purposes.

14. Modifications

We may modify these Terms at any time. The updated date at the top will reflect changes. Your continued use of the Services constitutes acceptance.

15. Limitation of Liability

To the fullest extent allowed by law:

• Manxz is not liable for indirect, consequential, or punitive damages.
• Our total liability is limited to fees you paid in the 3 months prior to the claim.

16. Dispute Resolution

16.1 Informal Negotiations

You agree to attempt to resolve disputes informally by emailing legal@manxz.com before filing legal action.

16.2 Arbitration

If informal resolution fails, disputes must be resolved by binding arbitration in San Joaquin County, California.

16.3 Class Action Waiver

You agree not to participate in class actions against Manxz.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
